Welcome to Alio Healthcare!

These Terms of Use (“Terms) are entered into between Alio Therapeutics, Inc., a Nevada corporation doing business as Alio Healthcare (“Alio Healthcare”, “Company”, “we”, “us”) and you (“User”). By accessing or using our website and services (the “Services”), you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1: Services
  • Nature of Services: Alio Healthcare provides coordination and delivery of nursing services, including home infusion and injection support, through a network of independent contractor nurses.
  • Website Functionality: Our website enables: (a) healthcare organizations to request services or initiate partnerships, (b) clinicians to express interest in independent contractor opportunities, (c) general users to obtain information about our services.
    No Medication Advice or Relationship

2: User Obligations

  • Accurate Information. Users agree to provide accurate, complete, and current information.
  • Authorized Use. Users submitting information on behalf of an organization represent that they are authorized to do so.

3: Lawful Use

  • Lawful Use: Users shall not use the Services for any unlawful, fraudulent, or unauthorized purpose.

4: Independent Contractor Model

  • Independent Contractor Model: Alio Healthcare engages nurses as independent contractors. Nothing in these Terms creates an employment, partnership, or agency relationship between Alio Healthcare and any User.

5: Service Requests and Referrals

  • Service Requests and Referrals: Submission of service requests or referrals: (a) does not constitute acceptance by Alio Healthcare, (b) is subject to review, availability, and formal agreement, and (c) must comply with applicable laws and privacy requirements.

6: Intellectual Property

  • Intellectual Property: All content on the website, including text, branding, and materials, is owned by Alio Healthcare or its licensors. Users may not copy, reproduce, or distribute content without prior written consent.

7: Limitation of Liability

  • Limitation of Liability: To the fullest extent permitted by law, Alio Healthcare shall not be liable for any indirect, incidental, consequential, or special damages arising from use of the Services.

8: Disclaimer of Warranties

  • Disclaimer of Warranties: The Services are provided on an “as-is” and “as-available” basis without warranties of any kind, express or implied.

9: Indemnification

  • Indemnification: Users agree to indemnify and hold harmless Alio Healthcare from any claims, damages, or losses arising from: (a) use of the Services, (b) violation of these Terms, and (c) submission of inaccurate or unauthorized information.

10: Termination

  • Termination: We reserve the right to suspend or terminate access to the Services at any time without notice.

11: Changes to Terms

  • Changes to Terms: We may update these Terms from time to time. Continued use of the Services constitutes acceptance of any revised Terms.

12: Governing Law

  • Governing Law: These Terms shall be governed by the laws of: (a) the Province of Ontario and applicable federal laws of Canada, and, where applicable, relevant laws of the United States based on service delivery.
